SENIOR EXECUTIVE RICHARD BLACKBURN PLANS TO LEAVE NYNEX

NEW YORK, N.Y., December 12, 1996 -- Richard W. Blackburn, president and group executive of NYNEX's worldwide communications and media group, announced today he has decided to leave the corporation to pursue other business interests.

Blackburn, who has been with NYNEX for 15 years, directs the corporation's interests in long distance, video, cellular and PCS services, directory publishing and select international projects, including FLAG (Fiberoptic Link Around the Globe), the world's longest undersea fiber optic cable.

"Dick Blackburn was instrumental in the creation of some of NYNEX's most exciting ventures," said Ivan Seidenberg, NYNEX chairman and chief executive officer. "Projects like NYNEX CableComms, FLAG and PrimeCo Personal Communications will deliver value for years to come because Dick helped us put them on the proper foundation. He has brought focus, discipline and accountability to everything he's done, and those around him have performed at a higher level as a result. I have the utmost respect for him. We all will surely miss him, and we know that he will continue to contribute to our industry in whatever he chooses to do."

Blackburn said, "I'm proud to have been part of making NYNEX a global player. The communications industry is going through powerful changes, including our merger with Bell Atlantic, which are creating many opportunities. I've looked at those inside the new corporation and decided that this is the right time to explore those outside."

Blackburn will stay on at NYNEX through the close of the Bell Atlantic-NYNEX merger, which is expected to take place in the first quarter of 1997.

Blackburn was elected vice president and general counsel of New England Telephone in 1981, moving to NYNEX in 1991 to hold senior positions in its Worldwide Services group. He assumed his current position on January 1, 1995.

Blackburn is chairman of NYNEX CableComms PLC and is a director on the boards of TELE-TV, Bell Atlantic NYNEX Mobile and PrimeCo Personal Communications. He is a member of the American Bar Association, and a trustee of the New England Legal Foundation, the Massachusetts Eye and Ear Infirmary and the American Museum of the Moving Image.
